What they said
Citizens Business Bank (CVB Financial) reported Q2 2026 results and discussed the recently completed acquisition and integration of Heritage Bank of Commerce. Reported net earnings were $48.3 million ($0.29 per share), with pretax income of $65 million; excluding acquisition-related charges and a provision for unfunded commitments, pretax income would have been $100.7 million. The Heritage acquisition (closed April 17) materially expanded the balance sheet (assets increased to $21.2 billion), added loans and securities, and produced immediate loan originations growth (originations +85% vs. prior year quarter). Management reported a successful core systems conversion over the June 19–21 weekend and early signs of revenue synergies (trust/wealth, mortgage, international banking). Net interest margin expanded ~28 bps quarter-over-quarter and net interest income rose $44.6 million. Integration-related acquisition expenses were $31.4 million in Q2; core noninterest expense (ex-acquisition/amortization/provision) was $75.2 million. Credit metrics were stable: very low net charge-offs ($137k), nonperforming assets $16.8 million (0.08% of assets), and classified loans $109.7 million (0.91%). Management reiterated targets related to the acquisition (EPS accretion 13%+ in 2027; return on hedge assets ~1.50%; return on tangible common equity ~17%), and discussed timing for cost-savings recognition (most realized by Q4, fully in early 2027).
Guidance
- EPS accretion of 13% or greater in 2027. - Target return on hedge assets of ~1.50% (management also referenced ~1.50% ROAA in discussion). - Target return on tangible common equity (ROATCE) of ~17%. - Cost saves: expect Q3 acquisition expense to fall by more than half from Q2 levels, Q4 to reach a true run rate and achieve ~90–95% of planned cost saves by Q4, with full run-rate by early 2027. - Ongoing share repurchases (management to continue evaluating buybacks and dividend policy as run rate becomes clearer).
Risks flagged
- Competitive pressure on loan pricing and deposit pricing; management noted intense rate competition for high-quality loans. - Interest-rate volatility (movement in 5- and 10-year Treasuries could impact customer behavior and margins). - Integration and execution risk: one-off customer transition items and remaining process integrations through ~September; acquisition-related expenses remain elevated in Q3. - Credit risks tied to acquired loan book: day-one provision for unfunded commitments ($4.25 million) and increase in classified loans attributable to the acquired portfolio. - Funding mix and wholesale funding maturities (decisions not to replace certain wholesale funding could influence cost of funds and liquidity profile).
