About Terex

Terex makes equipment used to lift, access, and process materials at height and on the ground. Its aerial work platforms cover portable lifts, articulating and telescopic booms, scissor lifts, utility vehicles, and telehandlers, sold under the Terex and Genie names and used on construction sites, utility and telecom work, tree care, and general infrastructure jobs. The company is recognized for this access and lifting equipment alongside its materials processing machinery.

The business runs through two segments. The Aerial Work Platforms unit designs, builds, services, and markets access and utility machinery along with parts. The Materials Processing unit sells crushers, screens, washers, trommels, feeders, material handlers, cranes, wood and biomass processing gear, concrete trucks and pavers, and conveyors under a wide set of brands including Powerscreen, Fuchs, Cedarapids, Finlay, and others. These machines serve construction, quarrying, mining, recycling, and biomass work. Terex also offers financing so customers can rent, lease, or buy its equipment.

Terex was established in 1986 and is headquartered in Norwalk, Connecticut. Its shares are listed on the NYSE under the ticker TEX.

Last earnings call, Feb 5, 2026 AI summary

What they said
Terex's Q4 2025 earnings call focused on the recently completed merger with REV Group, progress integrating prior acquisition ESG, Q4 and full-year financial results, segment performance, and guidance for 2026. Management emphasized that the REV merger creates a larger, more resilient specialty equipment company with approximately $2.5 billion of revenue and ~$230 million of adjusted EBITDA contributed by REV; they expect $75 million of run-rate synergies (roughly half within 12 months, fully by 2028). Q4 results were largely in line with expectations: consolidated sales of $1.3 billion (+6% YoY) and full-year net sales of $5.4 billion (+6% YoY), Q4 operating margin of 9.3% (up 150 bps YoY), EBITDA of $141 million (10.6% of sales), EPS of $1.12 for the quarter, and $172 million of free cash flow in Q4. Segment commentary: Environmental Solutions (ESG/Heil/utilities) showed strong margins and growth (utilities accelerating), Materials Processing saw margin improvement driven by price, and Aerials faced tariff headwinds leading to a flat 2026 outlook (skewed to a weaker first half). Specialty Vehicles (new SV segment including REV) brings a multi-year backlog (roughly two years at closing), good bookings, and is expected to deliver solid incremental margins and high-single-digit growth with potential for improvement as backlog is burned down. Management reiterated focus on integration execution, cash conversion, and preserving optionality (including potential use of proceeds from any future Aerials divestiture for buybacks, debt paydown, or reinvestment).
Guidance
- Expect to deliver ~$75 million run-rate synergies (roughly half within 12 months, full amount by 2028). - Aerials: 2026 revenue and margin expected to be flat (tariff headwind of ~12 months in 2026 vs ~6 months in 2025; ~ $60M incremental impact offset by price and productivity, netting to flat). - Environmental Solutions (segment): guiding mid-single digit growth for the segment overall; ESG (Heil) expected flattish revenue in 2026 (no EPA pre-buys baked in); utilities expected to accelerate and drive most growth within ES. - Materials Processing: expect progressive step-up in margins through 2026 driven by pricing and backlog burn-down. - Specialty Vehicles (REV): guiding high single-digit growth for 2026; incremental margin contribution on higher volume in SV expected to be in the ~30% range (seasonal cadence: highest in Q2/Q3, tapering in Q4), supporting ~$100M of EBITDA expansion at midpoint of range. - CapEx: expect CapEx in utilities to trend higher with an 8%–15% increase for the next five years (company-level comment on investing to support grid upgrades). - Tariff assumption: company referenced ~$130M of tariffs included in guidance ($4.50–$5.00 EPS guide context; includes REV).
Risks flagged
- Tariff headwinds (notably for Aerials) — management quantified incremental tariff impact (~$60M) in 2026 relative to 2025 and included ~$130M of tariffs in guidance. - Integration risk: execution risk related to integrating REV (and prior ESG) and achieving the stated synergies on time. - Backlog/lead-time normalization: ESG lead times normalized to pre-COVID levels (shorter backlog coverage), which could moderate near-term top-line growth; specialty vehicles backlog still long but operational throughput must be maintained to convert bookings to revenue. - Macro and end-market cyclicality: weakness in Aerials and Materials Processing volumes; exposure to private construction recovery timing (company does not expect significant improvement until 2027). - Financing costs: higher interest and financing expenses tied to acquisitions, and dilution/earnings-per-share dilution in the near term.
