What they said
Banc of California reported a challenging GAAP quarter driven by strategic, one-time balance sheet actions but presented a constructive outlook. Management executed a large securities repositioning ($2.3B moved from held-to-maturity and mostly sold), a targeted loan sale (~$825M), and the early retirement of $385M of subordinated debt. The moves produced an immediate pretax loss on sale (~$256.7M) and a reported net loss available to common shareholders of $251.3M (~$1.61 per diluted share). However, these actions materially increased the yield on redeployed proceeds (weighted average reinvested yield ~4.87%, ~276 bps pickup), shortened portfolio duration (5 to 4 years), reduced risk-weighting, and are expected to expand net interest margin and recurring net interest income. Loan and deposit production were strong (9% annualized loan growth; 12% annualized deposit growth; $2.8B loan production). Management emphasized continued focus on credit/expense discipline, selective loan growth, deposit retention initiatives (Project Stay), and new business initiatives (payments, private banking). They provided targets for margin and returns and highlighted capital improvement via loan sales and securities' reinvestments, noting an expected tangible book value earn-back of ~1.4 years.
Guidance
Net interest margin: ~3.30% in Q3 (3.30% to 3.40% range cited). PTPP (pre-tax, pre-provision) target of $125M to $130M by year-end. ROTCE target: 11.5% to 12.5% by year-end. Loan growth guidance: mid-single-digit for the year (management expects to outpace it). Provisioning normalized run-rate: roughly $9M–$12M per quarter. Tax rate expected to tick down ~1–2 percentage points across remaining quarters.
Risks flagged
Execution and accounting risk from large loan sales and securities repositioning (near-term pretax loss realized). Loan sale closing/diligence risk (buyers can kick loans). Elevated FDIC assessments expected to normalize early 2027. Continued macro uncertainty (rate moves, inflation, geopolitical risks) that could affect loan demand, funding costs, credit performance, and deposit behavior. Residual asset-quality questions (NPAs and previously highlighted problem loans) and potential for deposit volatility.
