About Werner Enterprises

Werner Enterprises moves full truckload freight for a broad mix of goods, serving customers across the United States and into Mexico. It is best known for running large fleets of trucks and trailers that carry everyday consumer products, general commodities, retail merchandise, and manufactured goods, along with specialized capacity for time-sensitive and temperature-sensitive loads.

The company works through two main divisions. Truckload Transportation Services covers several fleet types, including medium-to-long-haul dry van service, an expedited fleet that uses driver teams for faster delivery, a regional short-haul van operation, and a temperature-controlled fleet for food, beverages, and other perishable goods. Werner Logistics handles non-asset-based work, such as truck brokerage, full-service logistics management, rail coordination through partner rail and drayage providers, and delivery of oversized or heavy items to homes and businesses, often using liftgate straight trucks.

Werner Enterprises was founded in 1956 and is headquartered in Omaha, Nebraska. Its shares are listed on the NASDAQ under the ticker WERN.

Last earnings call, Jul 28, 2026 AI summary

What they said
Werner Enterprises' Q2 earnings call highlighted strong second-quarter performance driven by revenue growth, margin expansion, and operational improvements. Management reported 24% revenue growth, adjusted operating income up 67%, adjusted operating margin expansion of 80 basis points to 3.0%, and adjusted EPS of $0.22. Key drivers included the First Fleet acquisition, improvements in safety (declines in DOT-preventable accidents), successful 1-way restructuring leading to higher utilization and production gains, technology integration (single edge TMS and initial AI/automation benefits), and tightening of industry capacity due to regulatory enforcement (ELP, CDL school closures), reduced ELD providers, and enforcement outcomes (Montgomery verdict). Management cited realized synergies from First Fleet ($3M in Q2; $7M actioned for 2026; $18M target over 18 months), improved TTS margins (5.5% net of fuel), and progress on fleet optimization and CapEx to lower average fleet age. Logistics (brokerage) experienced margin pressure in Q2 due to temperature-controlled freight and adverse weather but is showing gross margin per load improvement in July. Management guided to modest fleet growth (TTS average fleet growth 16-18% full year; owner-operator additions could help); raised guidance for dedicated revenue per truck per week to 3-5% (from flat to 3% prior). They increased CapEx guide to accelerate fleet refresh to lower average truck age toward mid-20s, still expecting free cash flow positive and CapEx as % of revenue to remain upper single digits. They expect continued margin expansion into mid-single digits consolidated adjusted operating margin by year-end, with continued improvements in Q3 and Q4. Risks include regulatory enforcement continuing to tighten capacity, rising insurance and nuclear verdicts pressuring carriers and brokers, driver supply constraints and wage pressures, OEM engine changes / EPA rules impacting capacity and prebuy considerations, and potential higher insurance costs and challenges for small carriers/brokers. Overall tone was confident and constructive, management presented measured optimism with clear strategic actions and operational detail during Q&A.
Guidance
- Raised dedicated revenue per truck per week guide from flat-to-3% to 3%-5%. - TTS fleet guide: modest fleet growth, full-year average fleet growth 16%-18% (higher end contingent on owner-operators and dedicated wins). - Increased CapEx to accelerate fleet refresh; targeting average truck age closer to mid-20s by year-end; expect to remain free cash flow positive; CapEx as % of revenue upper single digits. - Expect continued margin expansion Q3 into Q4 towards mid-single digit consolidated adjusted operating margin. - Logistics gross margins expected to improve; truckload brokerage gross margin per load up ~300-400 bps in July vs Q2, implying 150-200 bps of consolidated margin lift over time.
Risks flagged
- Continued regulatory enforcement (ELP, fraudulent CDL schools, ELD provider exits, cabotage enforcement) causing capacity attrition. - Montgomery verdict and similar litigation increasing liability/insurance exposure and pressure on brokers and small carriers. - Driver supply constraints, tightening labor market and difficulty growing driver hires into 2027. - OEM engine changes and EPA-related uncertainties could limit capacity growth and complicate fleet planning. - Weather and temp-controlled freight volatility impacting logistics margins. - M&A and restructuring non-recurring costs; integration and synergy realization risks.
