What they said
HF Sinclair reported a strong Q2 with significant year-over-year earnings and EBITDA improvement driven by Refining and Renewables. Management highlighted operational execution with crude oil throughput above guidance (≈640kbd), Marketing growth through branded site additions, and Renewables EBITDA improvement supported by higher RINs/pricing and tax credits. The company announced a planned separation of the Lubricants & Specialties (L&S) business via a tax-efficient capital markets spin, and the retirement of the Mississauga base oil refinery; separation is targeted over 12–18 months. Strategic initiatives include the Go West midstream project (Phase 1 ~35kbd, target FID this year) and continued optimization and reliability projects across refining. Management reiterated disciplined capital allocation (target ~50% payout ratio), opportunistic tuck-in M&A, and potential share repurchases while emphasizing capital-light structure for spinco. Key near-term items: planned turnarounds at El Dorado (Sept) and Cheyenne (Q3), pending regulatory/RIN (SRE/FRE) outcomes, and ongoing separation planning costs.
Guidance
• Lubes/ Specialties SpinCo: management cites a trailing-12-month EBITDA run-rate of ~$300–$350M for the standalone business and expects a capital-light model going forward. • Lubes separation targeted to be executed in a tax-efficient manner over the next 12–18 months. • Branded site growth: expect ~10% annual increase in branded sites. • Go West Phase 1 capacity target: ~35,000 barrels per day, with FID targeted this year (no economic guidance yet). • Payout policy: target ~50% distribution of capital to shareholders (tracking near ~40% YTD).
Risks flagged
• RIN/SRE regulatory uncertainty and pending FRE petitions—management expects imminent relief but outcomes are material to compliance costs and RIN bank trajectory. • Closure/retirement of Mississauga base oil refinery: transition risks, logistics, and potential short-term supply impacts; structural competition from lower-cost global base oil capacity. • Turnarounds (El Dorado, Cheyenne) and other maintenance can impact near-term volumes. • Market cyclicality: tightening/loosening of product markets and geopolitical developments could reverse current favorable crack spreads. • Separation execution risk: additional public-company costs, execution timing (12–18 months), and possible integration/distribution agreements must be executed as planned.
