About Tidewater

Tidewater works with offshore energy operators around the world, sending out crews and vessels to keep drilling and production running. The company is known for backing exploration, field development and output through a mix of purpose-built ships, and it also lends a hand to windfarm construction and upkeep. Its jobs include towing and anchor handling for mobile drilling rigs, ferrying supplies and workers to sites, offshore construction, seismic and subsea assistance, geotechnical surveying for wind projects, and laying pipe and cable beneath the water.

To carry out this work, Tidewater keeps a mixed fleet on hand. Platform supply ships and anchor handling tug supply vessels move gear and provisions between shore bases and rigs in deep or mid-depth waters, while towing-supply boats, crew vessels, utility craft and tugs cover shallower jobs, shuttling people and cargo and towing floating rigs, barges and tankers. Its customer base takes in large and independent oil and gas producers, foreign state-linked firms, drilling contractors, and businesses tied to offshore construction, windfarm building, diving and well stimulation.

Founded in 1956, Tidewater is headquartered in Houston, Texas, and its stock trades on the NYSE under the ticker TDW.

What they said
Tidewater reported stronger-than-expected Q2 2026 results driven by higher day rates, improved utilization (81.4%), and favorable timing of dry docks. Revenue was $342.3 million and gross margin was 46.9% (approximately 49% excluding $6.8 million of conflict-related costs). Net income was $21.7 million, or $0.43 per share. Management highlighted a 7.5% sequential increase in the weighted average leading edge day rate, strong markets in Europe/Med and improving tendering activity globally, and continued supply-side constraints supporting the OSV market. Operation Epic Fury (the Iran-related conflict) added ~$6.8 million of costs in Q2 and ~$9.2 million YTD; management expects approximately $4 million of related costs in Q3. The company reiterated disciplined capital allocation: anticipates funding approximately $270 million of cash consideration to close the Wilsons acquisition (around Sept 1, 2026) from cash on hand, retaining a $500 million repurchase authorization, and expects pro forma net leverage of ~0.8x post-transaction. Management expressed optimism on further day rate and utilization improvement into 2027, intends to keep a portion of the fleet available for re-pricing, and sees attractive M&A opportunities selectively. No explicit numeric revenue or EPS guidance was given beyond utilization (80% contemplated in guidance) and expected conflict costs for Q3.
Guidance
Included in guidance assumptions: management contemplates 80% utilization in financial guidance and is assuming approximately $4 million of Operation Epic Fury-related costs in Q3. They expect to fund ~ $270 million cash consideration for the Wilsons acquisition (target close ~Sept 1, 2026) from cash on hand. No explicit revenue or EPS targets were provided.
Risks flagged
Operation Epic Fury: ongoing conflict-related costs (insurance, crew war premiums, higher fuel and travel) which added ~$6.8M in Q2 and ~$9.2M YTD and are expected to continue into Q3 (~$4M assumed). Project timing risk (some projects may shift to the right). Elevated fuel, insurance and crew wage costs may persist while rebilling to customers can be slow. Covenant limitations on share repurchases under bond and revolving credit agreements tied to net debt-to-EBITDA ratios. Integration and execution risk for M&A activity.
