- What they said
- Cosan's Q2 2026 call emphasized progress on capital structure simplification, asset monetizations and cost reductions. Management highlighted the Compass IPO secondary which generated BRL 2.3 billion in net proceeds to Cosan, the pending sale of Hadar land in Mato Grosso (BRL 1.85 billion transaction with Cosan's indirect stake ~BRL 586 million), and an exclusive LOI for divestment of a terminal (~BRL 300 million at closing plus possible BRL 50 million earn-out). The company reported nearly BRL 9 billion of debt prepayments through June, a 20% reduction in expanded net debt vs Q1 2026, and ~36% decrease in G&A (BRL 49 million savings in H1). Management described continued simplification efforts (including delisting ADS process), corporate reorganizations (spin-off proposals for Radar), and ongoing negotiations to reduce the holding's complexity. Rumo stake sale process is underway; Moove delivered a strong, resilient quarter and management does not plan an IPO or sale of Moove now. Management reiterated the focus on deleveraging, improving interest coverage, and continuing G&A reductions, while stressing they will monetize assets at appropriate valuations and that some transactions are subject to customary closing conditions.
- Guidance
- Management indicated a trend toward an improved interest coverage ratio and expects material deleveraging contributions from announced portfolio changes. They noted Compass IPO proceeds will be reflected from Q3 2026 and Radar/Hadar-related transactions are expected to contribute (Hadar closing expected by Oct 30, 2026; other Radar proceeds likely early Q4). Management reiterated ambitions for continued reductions in recurring G&A, but provided no specific numerical guidance or updated fiscal-year targets.
- Risks flagged
- Several announced transactions remain subject to customary conditions precedent and are not yet closed. Management noted macro and market conditions can materially affect outcomes. They flagged that some operational tailwinds (notably around Moove's fuel environment) may not repeat, and emphasized valuation discipline (not selling assets at any cost). Delisting/SEC obligations remain in process and could affect timing of simplification benefits.
